IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE TRIBELA SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We are Tribela Ltd ("Tribela", "we", "us", "our"), a company incorporated in England and Wales (registered number 16172759) with its registered address at Suite 128, 94 London Road, Headington, Oxford, Oxfordshire OX3 9FN.

The Tribela Service includes the Tribela mobile application (the "App"), as well as all related products, features, technologies, services and software we provide as part of the App (the "Tribela Service") as permitted in these Terms.

The Tribela Service is a social media and community platform designed to provide users with a safe, creative, and intentional way to connect online. Through verified accounts, user-controlled content settings, and built-in safety features, the Tribela Service allows individuals to share content, communicate with others, and participate in communities in a respectful and secure environment. The Tribela Service includes access to the App (iOS and Android, when available), our website, and related tools, features, and technologies that enable users to create profiles, post and share content, engage in messaging and community discussions, follow interests, and connect with creators, businesses, and organizations. Tribela is committed to user well-being and safety-by-design. The Tribela Service may include moderation tools, reporting functions, and other measures intended to protect users and maintain a positive environment.

We will provide you with prior notice of any scheduled changes to the Tribela Service you are using. The modified Legal Terms will become effective upon posting or notifying you by privacy@tribela.com, as stated in our notification to you. By continuing to use the Tribela Service after the effective date of any changes, you agree to be bound by the modified terms.

We recommend that you print a copy of these Legal Terms for your records.

We care about data privacy and security. To provide you with the Tribela Service, we need to collect and use your information. Our Privacy Policy explains how we collect, use and share information when providing the Tribela Service.

The Tribela Service is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Tribela Service. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Tribela Service.

To use the Tribela Service:

• you must not be prohibited from receiving any aspect of the Tribela Service under applicable laws;
• we must not have previously disabled your account for violation of law or any of our policies; and
• you must not be a convicted sex offender.

We agree to provide you with the Tribela Service solely for your personal, non-commercial use or internal business purpose.

Please review this section carefully prior to using the Tribela Service to understand the (a) rights you give us, (b) obligations you have when you access and use the Tribela Service and (c) obligations you have when you post or upload any content through the Tribela Service.

User Registration: When you register to use the Tribela Service, you agree to keep your password confidential and will be responsible for all use of your account and password.

You do not have to disclose your identity when using the Tribela Service, but you must provide us with accurate and up-to-date information (including registration information), which may include providing personal data.

We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Tribela Service ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Contributions: As part of the Tribela Service you will be able to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Tribela Service, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material ("Contributions"). Any Submission that is publicly posted shall also be treated as a Contribution.

You understand that Contributions may be viewed by other users of the Tribela Service.

You are responsible for how you access and use the Tribela Service and for what you post or upload. You may not access or use the Tribela Service for any purpose other than that for which we make the Tribela Service available, and you may not use the Tribela Service in connection with any commercial endeavours except those that are specifically endorsed or approved by us. As a user, you agree not to:

• Systematically retrieve data or other content from the Tribela Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Tribela Service.
• Disparage, tarnish, or otherwise harm us and/or the Tribela Service.
• Use any information obtained from the Tribela Service in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Tribela Service in a manner inconsistent with any applicable laws or regulations.
• Engage in unauthorized framing of or linking to the Tribela Service.
• Upload or transmit viruses, Trojan horses, or other material — including excessive use of capital letters and spamming — that interferes with any party's uninterrupted use of the Tribela Service.
• Engage in any automated use of the system, such as using scripts, data mining, robots, or similar tools.
• Delete the copyright or other proprietary rights notice from any Tribela content.
• Attempt to impersonate another user or person or use the username of another user.
• Upload or transmit any material that acts as a passive or active information collection or transmission mechanism (gifs, 1×1 pixels, web bugs, cookies, or other similar devices).
• Interfere with, disrupt, or create an undue burden on the Tribela Service or the networks or services connected to it.
• Harass, annoy, intimidate, or threaten any of our employees or agents.
• Attempt to bypass any measures designed to prevent or restrict access.
• Copy or adapt the Tribela Service's software.
• Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software.
• Use, launch, or distribute any automated system, including spiders, robots, scrapers, or offline readers.
• Use a buying agent or purchasing agent to make purchases on the Tribela Service.
• Make any unauthorized use of the Tribela Service, including collecting usernames or email addresses for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences.

You warrant and represent that:

• you will not use the Tribela Service as part of any effort to compete with us or use it for any revenue-generating endeavor or commercial enterprise;
• you will not post or transmit any Submission or Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, or misleading;
• your Contributions do not infringe the proprietary rights of any third party — including copyright, patent, trademark, trade secret, or moral rights;
• your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, or mass mailings;
• your Submissions and Contributions are original to you or you have the necessary rights and licenses;
• you have the written consent, release, and/or permission of every identifiable individual person in your Contributions;
• your Submissions and Contributions do not constitute confidential information;
• your Contributions do not violate any applicable law, regulation, or rule;
• your Contributions do not violate any applicable law concerning child pornography or otherwise intended to protect the health or well-being of minors; and
• your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms or any applicable law.

You are solely responsible for your use of the Tribela Service and your Submissions and Contributions, and you expressly agree to indemnify us for any losses we may suffer because of your breach. Any use of the Tribela Service in violation of the foregoing may result in termination or suspension of your rights to use it.

We have no obligation to monitor any Contributions, but we have the right to remove or edit any Contributions at any time without notice if we consider them harmful or in breach of these Legal Terms. If we remove or edit Contributions, we may also suspend or disable your account and, if necessary, report you to the authorities.

A licence to use your Contributions. We do not claim any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights associated with them. When you share, post or upload your Contributions on or in connection with the Tribela Service, you automatically grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide licence to host, use, distribute, modify, run, copy, publicly perform or display, translate and create derivative works of your Contributions (consistent with your privacy and application settings), and you waive all moral rights in your Contributions. This licence ends when your Contributions are deleted from our systems.

Permission to use your username, profile picture and company name (as applicable) and any of the trademarks, trade names, logos, and personal and commercial images you provide.

Permission to download and install updates to the Tribela Service on your device (as necessary).

All intellectual property rights in the Tribela Service throughout the world belong to us (or our licensors) and the rights in the Tribela Service are licensed (not sold) to you. You have no intellectual property rights in, or to, the Tribela Service or any part thereof other than the right to use them in accordance with these Terms.

Any breach of our intellectual property rights will constitute a material breach of these Legal Terms and your right to use the Tribela Service will terminate immediately.

If you wish to make any use of the Tribela Service other than as set out in this section or elsewhere in our Legal Terms, please address your request to privacy@tribela.com.

We reserve the right, but not the obligation, to: (1) monitor the Tribela Service for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Terms, including reporting them to law enforcement; (3) at our sole discretion, pre-screen or delete any Contributions or restrict access to them; (4) remove from the Tribela Service any files or content excessive in size or burdensome to our systems; and (5) otherwise manage the Tribela Service in a manner designed to protect our rights and property and to facilitate proper functioning.

We are not liable for any statements or representations in your Contributions. You are solely responsible for your Contributions, and to the fullest extent permitted by law we exclude all liability for any claims, damages or losses arising from or in relation to them.

We reserve the right to change, modify, or remove the contents of the Tribela Service at any time or for any reason at our sole discretion without notice. We have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Tribela Service.

We cannot guarantee the Tribela Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Tribela Service during any downtime or discontinuance. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Tribela Service.

The ways in which you can use the Tribela Service may also be controlled by either the Apple Store or Google Play's rules and policies (Standard EULA — Licensed Application End User License Agreement), and those rules and policies will apply instead of these Terms where there are differences between the two.

These Legal Terms shall remain in full force and effect while you use the Tribela Service.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE TRIBELA SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE TRIBELA SERVICE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. In addition, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.

These Legal Terms are governed by and interpreted following the laws of England and Wales, and you can bring legal proceedings in respect of the Tribela Service in the courts of England and Wales. If you live in Scotland you can bring legal proceedings in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in either the Northern Irish or the English courts. If your habitual residence is outside the UK, and you are a consumer, you may also possess protections provided to you by obligatory provisions of the law in your country of residence.

If a claim or dispute arises out of or relates to your use of the Tribela Service as a consumer, both you and we agree that you may resolve your individual claim or dispute against us — and we may resolve our claim or dispute against you — in any competent court in the country of your main residence that has jurisdiction over your claim or dispute, and the laws of that country will apply without regard to conflict of law provisions.

If a claim or dispute arises in any other capacity, including access or use of the Service for a business or commercial purpose, you agree that any such claim must be resolved exclusively in the courts of England and Wales. Without prejudice to the foregoing, you agree that, in its sole discretion, Tribela may bring any claim or cause of action against you in any competent court that has jurisdiction.

We may make changes to the Tribela Service and may need to make changes to these Terms and applicable policies so that they accurately reflect the Tribela Service. Unless otherwise required by law, we will notify you at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not agree to any updated Terms, you can terminate your agreement by deleting your account and no longer accessing or using any part of the Tribela Service.

THE TRIBELA SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE TRIBELA SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE TRIBELA SERVICE AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE TRIBELA SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE TRIBELA SERVICE. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE TRIBELA SERVICE.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE TRIBELA SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH, PERSONAL INJURY OR FRAUDULENT MISREPRESENTATION CAUSED BY OUR NEGLIGENCE, OR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

SUBJECT TO THE FOREGOING, OUR TOTAL LIABILITY TO YOU UNDER THESE LEGAL TERMS WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR £100 GBP.

You agree to defend, indemnify, and hold us harmless — including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees — from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Tribela Service; (3) breach of these Legal Terms; (4) any breach of your representations and warranties; (5) your violation of the rights of a third party, including intellectual property rights; or (6) any overt harmful act toward any other user of the Tribela Service with whom you connected.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.

Visiting the Tribela Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically — via email and on the Tribela Service — satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE TRIBELA SERVICE.

These Legal Terms and any policies or operating rules posted by us on the Tribela Service constitute the entire agreement and understanding between you and us. This agreement does not give rights to any third parties. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver. We may assign any or all of our rights and obligations to others at any time. You cannot transfer your rights or obligations without our consent. We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms.
