AGREEMENT TO OUR LEGAL TERMS
Except where we expressly state that separate terms (and not these) apply, these Legal Terms (or “Terms”) constitute a legally binding agreement made between you (“you“), and Tribela , concerning your access to and use of the Tribela Service (outlined below). You agree that by accessing the Tribela Service, you have read, understood, and agreed to be bound by the Terms.
IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE TRIBELA SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
WHO ARE WE AND WHAT IS THE TRIBELA SERVICE?
We are Tribela Ltd (“Tribela”, “we”, “us“, “our“), a company incorporated in England and Wales (registered number 16172759) with its registered address at Suite 128 94 London Road, Headington, Oxford, Oxfordshire OX3 9FN.We agree to provide you with the Tribela Service.
The Tribela Service includes the Tribela mobile application (the “App“), as well as all other related products, features, technologies, services and software that we provide as part of the App (the “Tribela Service“) as permitted in these Terms.
The Tribela Service is a social media and community platform designed to provide users with a safe, creative, and intentional way to connect online. Through verified accounts, user-controlled content settings, and built-in safety features, the Tribela Service allows individuals to share content, communicate with others, and participate in communities in a respectful and secure environment. The Tribela Service includes access to the App (iOS and Android, when available), our website, and related tools, features, and technologies that enable users to create profiles, post and share content, engage in messaging and community discussions, follow interests, and connect with creators, businesses, and organizations. Tribela is committed to user well-being and safety-by-design. The Tribela Service may include moderation tools, reporting functions, and other measures intended to protect users and maintain a positive environment.
Access to the Tribela Service requires an active paid membership subscription. Subscription pricing, billing frequency, and available plans are displayed at the time of purchase within the App or on our website. Subscriptions renew automatically unless cancelled prior to the end of the applicable billing period. You may cancel at any time through your Apple App Store or Google Play account settings or through your account settings where applicable. Except where required by law, membership fees are non-refundable.
We will provide you with prior notice of any scheduled changes to Tribela Service you are using. The modified Legal Terms will become effective upon posting or notifying you by privacy@tribela.com, as stated in our notification to you. By continuing to use Tribela Service after the effective date of any changes, you agree to be bound by the modified terms.
We recommend that you print a copy of these Legal Terms for your records.
2. PRIVACY POLICY
We care about data privacy and security. To provide you with the Tribela Service, we need to collect and use your information. The Privacy Policy explains how we collect, use and share information when providing the Tribela Service.
3. WHAT YOU CAN DO
Who can use the Tribela Service?
The Tribela Service are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Tribela Service. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Tribela Service.
To use the Tribela Service:
you must not be prohibited from receiving any aspect of the Tribela Service under applicable laws;
we must not have previously disabled your account for violation of law or any of our policies; and
you must not be a convicted sex offender.
Your use of the Tribela Service
We agree to provide you with the Tribela Service solely for your personal, non-commercial use or internal business purpose.
Please review this section carefully prior to using the Tribela Service to understand the (a) rights you give us, (b) obligations you have when you access and use the Tribela Service and (c) obligations you have when you post or upload any content through the Tribela Service.
User Registration: When you register to use the Tribela Service, you agree to keep your password confidential and will be responsible for all use of your account and password.
You do not have to disclose your identity when using the Tribela Service, but you must provide us with accurate and up-to-date information (including registration information), which may include providing personal data.
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about Tribela Service (“Submissions“), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
Contributions: As part of the Tribela Service you will be able to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through Tribela Service, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material (“Contributions“). Any Submission that is publicly posted shall also be treated as a Contribution.
You understand that Contributions may be viewed by other users of Tribela Service.
You are responsible for how you access and use the Tribela Service and for what you post or upload: You may not access or use the Tribela Service for any purpose other than that for which we make the Tribela Service available and you may not use the Tribela Service in connection with any commercial endeavours except those that are specifically endorsed or approved by us.
As a user of the Tribela Service, you agree not to:
Systematically retrieve data or other content from the Tribela Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
Circumvent, disable, or otherwise interfere with security-related features of Tribela Service, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Tribela Service and/or the Content contained therein.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or Tribela Service.
Use any information obtained from Tribela Service in order to harass, abuse, or harm another person.
Make improper use of our support services or submit false reports of abuse or misconduct.
Use Tribela Service in a manner inconsistent with any applicable laws or regulations.
Engage in unauthorized framing of or linking to Tribela Service.
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of Tribela Service or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of Tribela Service.
Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
Delete the copyright or other proprietary rights notice from any Tribela content.
Attempt to impersonate another user or person or use the username of another user.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
Interfere with, disrupt, or create an undue burden on Tribela Service or the networks or services connected to Tribela Service.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of Tribela Service to you.
Attempt to bypass any measures of Tribela Service designed to prevent or restrict access to Tribela Service, or any portion of Tribela Service.
Copy or adapt Tribela Service’ software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of Tribela Service.
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses Tribela Service, or use or launch any unauthorized script or other software.
Use a buying agent or purchasing agent to make purchases on Tribela Service.
Make any unauthorized use of Tribela Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences.
In addition to the above, you warrant and represent that:
you will not use Tribela Service as part of any effort to compete with us or otherwise use Tribela Service and/or Tribela content for any revenue-generating endeavor or commercial enterprise;
you will not post, send, publish, upload, or transmit through Tribela Service any Submission nor post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
the creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party;
your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation;
any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions;
you have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use their name or likeness and to use any Contributions including their name and likeness in any manner contemplated by Tribela Service and these Legal Terms and that your Contributions do not violate the privacy or publicity rights of any third party;
your Submissions and/or Contributions do not constitute confidential information;
your Contributions do not violate any applicable law, regulation, or rule;
your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors; and
your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.
You are solely responsible for your use of the Tribela Service, your Submissions and/or Contributions and you expressly agree to indemnify us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law. Any use of Tribela Service in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use Tribela Service.
We may remove or edit your Contributions: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions to be harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and, if necessary, report you to the authorities.
Permissions you give to us:
A licence to use your Contributions. We do not claim any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. When you share, post or upload your Contributions on or in connection with the Tribela Service, you automatically grant, to us a non-exclusive, royalty-free, transferable, sublicensable, worldwide licence to host, use, distribute, modify, run, copy, publicly perform or display, translate and create derivative works of your Contributions (consistent with your privacy and application settings) and you waive all moral rights in your Contributions. This licence will end when your Contributions are deleted from our systems. You can delete your Contributions individually or all at once by deleting your account. To learn more about how we use information, and how to control or delete your Contributions, review the Privacy Policy.
Permission to use your username, profile picture and company name (as applicable). This any of the trademarks, trade names, logos, and personal and commercial images you provide.
Permission to download and install updates to the Tribela Service on your device (as necessary).
4. OUR RIGHTS
Intellectual Property
All intellectual property rights in the Tribela Service throughout the world belong to us (or our licensors) and the rights in the Tribela Service are licensed (not sold) to you. You have no intellectual property rights in, or to, the Tribela Service or any part thereof other than the right to use them in accordance with these terms.
Any breach of our intellectual property rights will constitute a material breach of these Legal Terms and your right to use the Tribela Service will terminate immediately.
If you wish to make any use of Tribela Service other than as set out in this section or elsewhere in our Legal Terms, please address your request to: privacy@tribela.com.
If we ever grant you the permission to post, reproduce, or publicly display any content containing part of the Tribela Service, you must identify us as the owners or licensors of the Tribela Service and ensure that any copyright or proprietary notice appears or is visible on such content.
Service monitoring
We reserve the right, but not the obligation, to: (1) monitor Tribela Service for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, pre-screen or delete any Contributions or refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible), edit, redact, or otherwise change or move any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from Tribela Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage Tribela Service in a manner designed to protect our rights and property and to facilitate the proper functioning of Tribela Service.
We are not liable for any statements or representations in your Contributions provided by you in any area on Tribela Service. You are solely responsible for your Contributions to Tribela Service and to the fullest extent permitted by law, we exclude all liability for anu claims, damages or losses arising from or in relation to your Contributions.
Modifications and interruptions
We reserve the right to change, modify, or remove the contents of Tribela Service at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of Tribela Service.
We cannot guarantee Tribela Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to Tribela Service, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify Tribela Service at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use Tribela Service during any downtime or discontinuance of Tribela Service. Nothing in these Legal Terms will be construed to obligate us to maintain and support Tribela Service or to supply any corrections, updates, or releases in connection therewith.
Apple and Android Devices
The ways in which you can use the Tribela Services may also be controlled by the either the Apple Store or Google Play’s rules and policies and Apple Store or Google Play’s rules and policies will apply instead of these terms where there are differences between the two.
5. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use Tribela Service.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF TRIBELA SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN TRIBELA SERVICE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
6. GOVERNING LAW
These Legal Terms are governed by and interpreted following the laws of England and Wales and you can bring legal proceedings in respect of the Tribela Service in the courts of England and Wales. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts. If your habitual residence is outside the UK, and you are a consumer, you may also possess protections provided to you by obligatory provisions of the law in your country to residence.
7. DISPUTE RESOLUTION
If a claim or dispute arises out of or relates to your use of the Tribela Service as a consumer, both you and us agree that you may resolve your individual claim or dispute against us, and we may resolve our claim or dispute against you, in any competent court in the country of your main residence that has jurisdiction over your claim or dispute, and the laws of that country will apply without regard to conflict of law provisions.
If a claim or dispute arises between us that relates to use of the Service in any other capacity, including, but not limited to, access or use of the Service for a business or commercial purpose, you agree that any such claim or dispute must be resolved exclusively in the courts of England and Wales. Without prejudice to the foregoing, you agree that, in its sole discretion, Tribela may bring any claim, cause of action or dispute that we have against you in such a capacity in any competent court that has jurisdiction over the claim.
8. UPDATING THESE TERMS
We may make changes to the Tribela Service and may need to make changes to these Terms and applicable policies so that they accurately reflect the Tribela Service. Unless otherwise required by law, we will notify you at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not agree to any updated Terms, or wish to terminate your agreement to these Terms, you can do so by [deleting your account and no longer accessing or using any part of the Tribela Service].
9. DISCLAIMER
TRIBELA SERVICE ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF TRIBELA SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH TRIBELA SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF TRIBELA SERVICE’S CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO TRIBELA SERVICE. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH TRIBELA SERVICE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
10. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF TRIBELA SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING THE FOREGOING, NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH, PERSONAL INJURY OR FRAUDULENT MISREPRESENTATION CAUSED BY OUR NEGLIGENCE OR ANY OTHER LIMITATIONS. FURTHERMORE, NOTHING IN THESE LEGAL TERMS SHALL EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
SUBJECT TO THE FOREGOING AND NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU UNDER THESE LEGAL TERMS WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR 100 GBP (£).
11. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of Tribela Service; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of Tribela Service with whom you connected via Tribela Service.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
12. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting Tribela Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on Tribela Service, satisfy any legal requirement that such communication be in writing.
YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA TRIBELA SERVICE.
You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
13. MISCELLANEOUS
These Legal Terms and any policies or operating rules posted by us on Tribela Service or in respect to Tribela Service constitute the entire agreement and understanding between you and us. This agreement does not give rights to any third parties. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. You cannot transfer your rights or obligations under this agreement without our consent. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of Tribela Service. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
